These Terms & Conditions govern the services provided by Viti States LLC / TWGUS, to wineries, wine producers, spirits brands and other beverage companies seeking to develop their presence in the U.S. market.

They apply to all TWGUS services, including USA Export Presentation and Importer Tours, unless otherwise agreed in writing between TWGUS and the participating company.

1. OUR SERVICES

TWGUS provides B2B business development and professional introduction services to companies seeking to enter or develop their presence in the U.S. market.

Depending on the service selected, TWGUS may provide:

  • targeted importer and distributor prospecting;

  • professional presentation of participating brands;

  • organization and coordination of presentations with selected professionals;

  • promotion and presentation of wines and spirits;

  • sample coordination and related logistics;

  • follow-up with interested importers;

  • introductions to interested buyers;

  • feedback following presentations.

The specific services included in each offer are those indicated on the relevant TWGUS website page, offer, quotation or communication provided to the participant.

2. USA EXPORT PRESENTATION

The USA Export Presentation service supports wineries and brands in developing their business in the United States through targeted prospecting, product presentation and introductions to potentially interested importers.

Depending on the plan selected, the service may include importer prospecting, wine presentation, sample management, logistics, follow-up and introductions.

2.1 All-Inclusive Monthly Plan

The All-Inclusive Monthly Plan is charged at €265 per month, according to the terms of the applicable offer.

The subscription automatically renews each month until cancelled.

The participant may cancel the subscription at any time by notifying TWGUS at least one month before the next payment date.

Cancellation will take effect at the end of the period already paid for.

2.2 Result-Based Plan

The Result-Based Plan aims to identify 3 to 5 interested importer contacts for the participating winery or brand.

As an indication, initial contacts are generally identified within approximately three months following validation of the winery or brand profile. This timeframe is indicative and may take longer depending on the winery's profile, target markets, importer availability and business opportunities.

Definition of an Interested Importer

An “interested importer” means an importer who has demonstrated genuine interest in the winery or its wines, for example by:

  • requesting additional information;

  • asking to review the winery's portfolio;

  • requesting samples;

  • continuing communication with the winery or TWGUS; or

  • expressing interest in exploring a potential business relationship.

An interested importer does not constitute a purchase order, sale, distribution agreement or any other commercial commitment.

The Result-Based Plan guarantee therefore relates to the identification of importers demonstrating genuine interest, not to the achievement of orders or sales.

If TWGUS is unable to identify 3 to 5 importers meeting this definition, the amount paid for the relevant service will be fully refunded in accordance with the applicable offer.

3. IMPORTER TOURS

Importer Tours are B2B presentation and business introduction programs organized by TWGUS in selected U.S. markets.

TWGUS may provide:

  • targeted importer selection and prospecting;

  • professional presentations of participating brands;

  • organization of meetings and presentations;

  • sample coordination;

  • customs clearance and sample shipping when included in the selected service;

  • follow-up with interested importers;

  • feedback following the tour.

The specific services included in each Importer Tour are indicated on the relevant TWGUS website page.

3.1 Registration and Selection

Submitting an information request, application or registration does not constitute a confirmed reservation.

Participation is subject to availability and acceptance of the application by TWGUS.

For each Importer Tour, TWGUS selects a limited number of wineries and producers, with the objective of selecting only one winery or producer per wine type or category.

TWGUS reserves the right to decline an application where the products, wine type, brand positioning, pricing, portfolio or other factors are not considered suitable for the objectives of the relevant Importer Tour.

3.2 Reservation Confirmation

Participation is considered confirmed only once the required reservation payment has been received by TWGUS and the reservation has been confirmed in writing by TWGUS.

Until both conditions have been met, TWGUS does not guarantee a place on the relevant Importer Tour.

3.3 Payment

A reservation deposit is required to secure participation in an Importer Tour.

The full participation fee must be paid no later than one month before the start date of the relevant Importer Tour.

The applicable amount, payment terms and deadlines will be communicated by TWGUS.

4. CANCELLATION

4.1 USA Export Presentation – All-Inclusive Monthly Plan

The participant may cancel the All-Inclusive Monthly Plan by notifying TWGUS at least one month before the next payment date.

4.2 Importer Tours

Once participation in an Importer Tour has been confirmed and payment has been made, no refund will be provided in the event of cancellation by the participant.

TWGUS commits resources, importer outreach, planning, logistics and promotional activities in preparation for each Importer Tour.

5. IMPORTER SELECTION AND RESULTS

TWGUS uses commercially reasonable efforts to identify and contact importers, distributors and other industry professionals whose portfolios, commercial interests and objectives may be relevant to the participating brand.

Importer selection is based, among other factors, on available information, portfolio compatibility, market fit, product positioning and TWGUS's professional assessment.

TWGUS does not guarantee that any particular importer will place an order, enter into a distribution agreement, represent the brand or establish a commercial relationship with the participant.

For the Result-Based Plan, the definition of an “interested importer” is set out in Section 2.2.

6. NO GUARANTEE OF COMMERCIAL RESULTS

Except for the specific guarantee provided under the Result-Based Plan, participation in a TWGUS service does not guarantee:

  • sales;

  • purchase orders;

  • distribution;

  • representation;

  • importing;

  • listings;

  • contracts;

  • revenue; or

  • any other specific commercial result.

TWGUS's objective is to provide targeted presentations, professional prospecting and business introduction opportunities with relevant professionals in the U.S. market.

7. SAMPLES, GROUPAGE, CUSTOMS CLEARANCE AND SHIPPING

Where sample shipping and customs clearance are included in the selected service, participating wineries and producers are responsible for sending their samples before the specified deadline to the groupage center designated by TWGUS.

The costs and responsibility for shipping samples to the designated groupage center are borne by the participant.

If required samples are not received by the applicable deadline, the participant's wines may not be presented during the relevant Importer Tour and no refund will be provided.

Where possible, TWGUS may offer to present the participant's wines during another Importer Tour, subject to availability.

Once samples have been received at the designated groupage center, TWGUS will handle customs clearance, related administrative procedures and shipment of the samples to the United States where these services are included in the applicable offer.

8. PARTICIPANT RESPONSIBILITIES

Participants agree to:

  • provide accurate and complete information about their company, products and brands;

  • provide required samples within the specified deadlines;

  • provide all requested documentation;

  • provide accurate pricing and distribution information;

  • ensure that all product information provided to TWGUS is accurate;

  • comply with applicable laws and regulations relating to their products and exports;

  • respond promptly to requests necessary for the organization and delivery of the service.

The participant remains responsible for the accuracy, legality and regulatory compliance of its products and information provided to TWGUS.

9. PRICING

Applicable fees are those communicated by TWGUS in the relevant offer, quotation or invoice.

Where a promotional or launch price is offered, the applicable conditions and deadline will be specified by TWGUS.

A promotional price is only considered secured once the applicable reservation conditions have been fulfilled within the specified period.

10. INTELLECTUAL PROPERTY AND BRAND MATERIALS

The participant authorizes TWGUS to use the name of its company, brand names, logos, photographs, product information and other materials provided by the participant for the purpose of promoting and presenting its products as part of the agreed services.

The participant confirms that it has the necessary rights to provide these materials to TWGUS.

TWGUS does not acquire ownership rights in the participant's intellectual property through the provision of the services.

11. CONFIDENTIALITY

Both parties agree to treat confidential business information received from the other party as confidential and not disclose it to third parties, except where reasonably necessary to provide the agreed services or where required by law.

Information that is already publicly available or independently obtained without breach of a confidentiality obligation is not considered confidential.

12. LIMITATION OF LIABILITY

TWGUS will provide its services with reasonable care and professionalism.

To the maximum extent permitted by applicable law, TWGUS shall not be liable for indirect, incidental, special or consequential losses, including loss of profits, anticipated sales, business opportunities or contracts arising from participation in a TWGUS service.

Nothing in these Terms & Conditions shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

13. EVENTS BEYOND OUR CONTROL

TWGUS shall not be liable for delays, changes or inability to perform resulting from circumstances beyond its reasonable control, including transportation disruptions, government restrictions, customs issues, natural disasters, public health events, strikes, importer cancellations or other unforeseen events.

TWGUS will use reasonable efforts to find an alternative solution where possible.

14. ACCEPTANCE OF THESE TERMS & CONDITIONS

By subscribing to a TWGUS service, confirming participation in an Importer Tour or making the required payment, the participant acknowledges that it has read, understood and accepted these Terms & Conditions.

These Terms & Conditions, together with the applicable offer, quotation, invoice and any specific written agreement between TWGUS and the participant, form the basis of the business relationship between the parties.

In the event of a conflict between these Terms & Conditions and a specific written agreement signed by both parties, the specific written agreement shall prevail.
